End User License Agreement

1. Acknowledgment

THIS END-USER LICENSE AGREEMENT (“EULA”) IS A LEGAL AGREEMENT BETWEEN YOU AND MOSTLYWHAT SYSTEMS (“WE,” “US,” OR “OUR”), as well as its subsidiaries, for the use of its Intellectual Properties, Software, Hardware, Games and other related services (“Software and related offerings”).

2. Scope of Rights and Limitations

  1. License: Upon your acceptance of this EULA, we grant you a limited, non-exclusive, non-transferable license to use our Software and related offerings. You do not have the right to sublicense your rights.
  2. Restrictions: You must not reverse engineer, decompile, or disassemble the Software and related offerings or attempt to gain unauthorized access to any services or databases connected to them.
  3. Intellectual Property Rights: Our Software, any printed materials, and any online or electronic documentation (“Documentation”) belong to us, and this EULA does not give you any intellectual property rights in the Software or Documentation.

3. Updates and Modifications

We may update, upgrade or modify our Software and related offerings without prior notice. If you do not accept the update, upgrade or modification, we reserve the right to cease support and terminate this EULA.

4. Termination

We may terminate this EULA immediately and without notice if you breach any term of this EULA.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE AND RELATED OFFERINGS, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK DISRUPTIONS, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.

6. Governing Law

This EULA will be interpreted in accordance with the laws in the jurisdiction where we are domiciled.

7. Entire Agreement

This EULA sets forth our entire agreement regarding your use of the Software and related offerings and supersedes any prior representations, discussions, undertakings, end-user agreements, communications, or advertising about the Software and related offerings.

BY DOWNLOADING, INSTALLING, OR USING THIS SOFTWARE AND RELATED OFFERINGS, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE AND RELATED OFFERINGS.
